Please read this Terms of Service carefully before starting a website plan with Series 5 Technology, Inc. DBA Church Website Hero, a corporation formed in North Carolina, United States as this Terms of Service contains important information regarding limitations of our liability. Your access and use of the products and services provided by Church Website Hero are conditional upon your acceptance of and compliance with these Terms. These terms apply to everyone, including but not limited to churches, their staff and representatives, with whom have chosen to engage in business with Church Website Hero.
Pricing & Terms
All website plans are offered via a subscription model. A subscription model requires regular payments to receive the product / service. The initial term for all website plans is 2 years (24 months).
You will have 30 days after starting your website plan to cancel and receive a full refund. After 30 days, you agree to pay the remaining balance of the subscription should you wish to terminate the service / product provided by the website plan. If you cancel after the initial 30 days and do not make the rest of the subscription payments or pay the remaining balance of the subscription, we reserve the right to not release the website including files, database(s), graphics, images, videos, and text content which comprise the website. We additionally reserve the right to take the website down until payment had been made or other arrangements have been agreed to by both parties.
When you purchase a website plan, your subscription to that plan will automatically renew every month from the initial date of purchase. We will charge the payment method on file. If the payment fails, we will attempt to charge the payment method on file again after 3-5 days. You will also receive an email when the renewal is about to be charged and if there is an issue. If we are unable to renew your payment, we will reach out via phone / email to correct the issue. If we are unable to correct the issue within two billing cycles we reserve the right to terminate your website plan, collect the outstanding balance of the subscription in total. And until payment has been collected we reserve the right to take down your website and not release any website file(s) or database(s).
Website Plans
All website plans include the website build, website hosting, maintenance, and support. This includes the following:
Website Build
- Wordpress - We will create the new website in WordPress using a combination of proprietary, free, and premium software.
- Design - We create the website including the look-and-feel, responsive layout, HTML and CSS.
- Text Content - We will provide you guidance and content templates to help create the content for the website. We will not create the website content.
- Graphics & Images - You will be responsible to supply the graphics and images in high-resolution digital format. We have a limited selection of stock images that can be available for use.
- Browser Testing - We will test the website on desktop, tablet, and mobile browsers including Chome, FireFox, Edge, and Safari.
- SEO - We will optimize the website for search engines as a part of the website build.
Website Hosting
We will provide website hosting via our contracted third party hosting provider. This hosting does not have any resource limits (bandwidth, storage, etc)
SSL Certificate
We will provide a Let’s Encrypt SSL certificate for your website to enhance it’s security and trust with your uses.
Backup & Restore
Your website will be backed up daily and stored in remote cloud storage. In the event of critical website failure we will restore your website from the most recent viable backup.
Software Updates
We will provide regular updates to the WordPress core software, plugins, and themes as they become available and tested. We will test to ensure any updates to not have a negative impact on your website. If an update does have a negative impact, we will revert to the last working version of the update until such time as we can safely update the site again. We generally process website updates during off-peak website hours and over the weekend.
Security
We will install security plugins on your website, as well as monitoring on your hosting account. If we are not hosting your website, we will make recommendations regarding security best practices for your web host.
We will monitor your website using various tools and software 24/7 for malware, hacking attempts and/or any malicious or suspicious behavior. We will also provide active website and server hardening, patches, updates, incident management, monitoring, and remediation.
Incident Management & Uptime Monitoring
We will provide 24/7 incident management if the website is hacked, experiences critical failure, or has an impact to the site which impedes normal / standard business operations.
You and/or the hosting company will be notified by email immediately upon a website going offline. We will work with the host to ensure that site-down issues are resolved and will notify you as soon as the site is back online.
If there is a malware issue found, you will be notified and provided with recommendations for malware removal and site recovery.
Our security scans are an “as is” product using third-party tools. As such, we are not responsible for their findings or any malware effect on your site.
We will be available via phone, email, chat, and sms in the need for incident management and will remain engaged until restoration of website normal / standard operations.
Reporting
We will provide monthly reports regarding backups, updates, security, content update requests and performance.
Website Update Requests
We will provide unlimited content edits while the website plan remains active. This includes updates to the website, content changes, and bug fixes / edits. All update requests will go through a specific ticketing / task management system, and will be processed on request at a time.
Unlimited website updates are restricted to the items listed on this page. This list is subject to change the will detail what is and is not covered under unlimited updates.
We are committed to a one to two business day turnaround on any task that takes two hours or less (most tasks are accomplished within 24 hours). You will be notified of any tasks which take longer than the standard turnaround time and an estimated time of completion.
We are available Monday through Friday, 9 am – 6 pm, Eastern Standard Time; excluding all federal holidays. We may be available outside these hours, but such availability is not guaranteed and is not automatically granted or assumed as part of this agreement.
Website Plans are offered “as is”, with no implied warranty or guarantee that your website will function exactly as you wish (sometimes there are limitations as to what components work together, what hosting companies will allow, or what requirements 3rd-party components and plugins will have).
If your support issue requires significantly more web development time than is included in your plan, we will quote it as a separate project, outside the Website Plan. An example would be a website redesign, addition of significant new functionality, or the development of a brand new application.
Website Optimization
We will perform continual website optimization to keep your website running as smooth and fast as possible. This includes:
Optimize the WordPress Database
- Perform SPAM and revisions cleanup
- Install and configure WordPress caching plugin
- Compress images and other media on the website
- Removed unused plugins and other code on the website
User Training
We will provide website training at the launch of the website via a remote screenshare call. Additionally we will provide screenshare videos and documentation for specific tasks (i.e. uploading new sermon) for the website at any time during the length of the website plan.
Consulting
We will consult regarding online marketing, analytics, email campaigns, G Suite, web infrastructure, landing pages, user experience, website security, e-commerce, etc.
What’s Not Covered
The Website Plan does not cover the following:
- Logo creation or modification
- Graphic design outside the scope of building the website
- Social media management or marketing
- SEO beyond the initial optimization of the website at launch
- Google My Business
- Domain Purchases
- Email marketing
- Email hosting
Legal
We will carry out our work in accordance with good industry practice and at the standard expected from a suitably qualified person with relevant experience.
That said, we can’t guarantee that our work will be error-free and so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them.
Your liability to us will also be limited to the amount of fees payable under this contract and you won’t be liable to us or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if we’ve advised you of them.
Finally, if any provision of this contract shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of any remaining provisions.
During the duration of this plan, you agree that no other party will make modifications to your website website database, plugins, or files (other than as needed for regular content management); any non-standard changes to the theme that could result in loss of edits; or any modifications that affect the core or plugins that could result in the loss of edits. If a party other than us makes changes to your website, any errors that are created, that must be repaired, will be done at your additional expense.
Just like a parking ticket, neither of us can transfer this contract to anyone else without the other’s permission.
We both agree that we will adhere to all relevant laws and regulations in relation to our activities under this contract and not cause the other to breach any relevant laws or regulations.
This contract stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.
Although the language is simple, the intentions are serious, and this contract is a legal document under exclusive jurisdiction of US American courts.
Intellectual property rights
Just to be clear, “Intellectual property rights” means all patents, rights to inventions, copyright (including rights in software) and related rights, trademarks, service marks, get up and trade names, internet domain names, rights to goodwill or to sue for passing off, rights in designs, database rights, rights in confidential information (including know- how) and any other intellectual property rights, in each case whether registered or unregistered and including all applications (or rights to apply) for, and renewals or extensions of, such rights and all similar or equivalent rights or forms of protection which subsist or shall subsist now or in the future in any part of the world.
First, you guarantee that all elements of text, images, or other artwork you provide are either owned by your good selves, or that you’ve permission to use them. When you provide text, images, or other artwork to us, you agree to protect us from any claim by a third party that we’re using their intellectual property.
We guarantee that all elements of the work we deliver to you are either owned by us or we have obtained permission to provide them to you. When we provide text, images, or other artwork to you, we agree to protect you from any claim by a third party that you are using their intellectual property. Provided you have paid for the work and that this contract has not been terminated, we will assign all intellectual property rights to you as follows:
You will own the website we design and develop for you plus the visual elements that we create for it. You own all intellectual property rights of text, images, site specification and data you provided, unless someone else owns them.
We will own any intellectual property rights we have developed prior to or developed separately from this project and not paid for by you. We will own the unique combination of these elements that constitutes a complete design, and we will license its use to you, exclusively and in perpetuity for this project only, unless we agree otherwise.
Displaying our work
We love to show off our work, so we reserve the right to display all aspects of our creative work, including sketches, work-in-progress designs, and the completed project on our portfolio and in articles on websites, in magazine articles and in books.
